MVL â Tax Efficient Closure of a Limited Company â Contractors Affected by IR35 â Case Study

Background
John*, an IT contractor, had been trading for five years through his limited company. Recently, he was notified by his client that, due to being caught inside the IR35 legislation, the end client could no longer engage him via his limited company. John was able to continue working for the client, but only on the basis of being paid weekly through an umbrella company.
As a result, John no longer required his limited company, which held reserves of approximately £100,000.

The MVL Journey for a contractor
Through the MVL, John received the company reserves via the Liquidator. These distributions were treated as capital rather than income, allowing John to benefit from Entrepreneurs’ Relief. This reduced his personal tax rate to 10 per cent, bringing his tax bill to below £10,000.
